SnagMate Terms of Use
The terms that govern access to and use of the SnagMate construction snagging service.
These Terms apply to the SnagMate website, mobile and web applications, workspaces and related services ("SnagMate" or the "Service"). The Service is provided by Tech Local (Pty) Ltd, registration number 2025/315373/07, of 18 Rosyth Road, Nahoon, East London, Eastern Cape, 5241, South Africa ("Tech Local", "we", "us" or "our").
By accessing or using SnagMate, you agree to these Terms and the Privacy Notice. If you use SnagMate for an organisation, you also confirm that you have authority to accept these Terms on its behalf. If you do not agree, do not use the Service.
1. These Terms and your customer agreement
A proposal, order form, subscription schedule, statement of work, data-processing agreement or other written customer agreement may set the commercial and service terms for an organisation. Those additional terms form part of the agreement and control to the extent of a direct conflict. Project instructions, report settings and role assignments do not amend a customer agreement unless an authorised representative agrees in writing.
2. Eligibility and authority
You must be at least 18 years old, legally able to enter into an agreement and authorised to act in your assigned role. If you create or administer a workspace, invite another user, allocate a project or act for a customer, contractor or employer, you confirm that you have the authority required by that organisation. You must provide accurate account information and promptly update it when it changes.
3. Accounts, security and roles
Keep your login credentials confidential and notify us promptly at tania@elitefacilities.co.za if you suspect unauthorised access. You are responsible for activity carried out through your account unless applicable law provides otherwise. Customer administrators may invite, manage, suspend or remove users and assign roles such as Project Leads, Inspectors and Contractors. A displayed role does not grant access beyond the permissions enforced by the Service or the customer's authority.
4. How the Service works
SnagMate helps authorised site teams organise projects and locations, capture and assign defects, collect snag evidence and completion proof, review work, record sign-off and generate client-ready reports. Customers remain responsible for their projects, users, workflow decisions, site access and contractual obligations. Features and availability may differ by plan, role, device or customer setup.
5. Customer content and permissions
"Customer Content" includes project, site, unit and room details; snag descriptions; photos and annotations; drawings; voice notes and transcripts; comments; assignments; completion evidence; reviews, sign-offs, reports and branding submitted to or generated through the Service. As between you and Tech Local, you or the relevant customer retain ownership of Customer Content.
You grant Tech Local a non-exclusive, worldwide, royalty-free licence to host, copy, process, transmit, display and format Customer Content only as reasonably needed to provide, secure, support and maintain SnagMate, comply with law and exercise or defend legal rights. You must have the rights, site permissions, notices, consents and other lawful authority needed to record voices, photograph people or premises, upload drawings and submit personal or confidential information. Capture only information relevant to the work.
6. Inspection records and professional responsibility
SnagMate records and routes information supplied by users; it does not inspect a site or decide whether work is safe, compliant, complete or fit for purpose. A status change, completion proof, report or sign-off reflects the action of the authorised user who made it. Do not rely on SnagMate as a substitute for professional building, engineering, health and safety, quantity surveying, legal or other advice. Customers and their suitably qualified people remain responsible for inspection judgments, instructions, rectification, verification and acceptance.
7. Voice transcription and generated drafts
Where enabled, SnagMate may send a limited, time-bound audio link and related content to Groq for voice transcription and may suggest a short title or description. Audio, transcripts and generated drafts can be incomplete or inaccurate. Review and correct them before saving, assigning work, making a safety or commercial decision, signing off or issuing a report. We do not permit a model provider to use Customer Content for unrelated purposes except where the relevant customer has expressly agreed.
8. Prices, subscriptions, payment and cancellation
Prices, taxes, billing periods, included usage, payment dates, renewal, cancellation and any refund terms are shown in the applicable customer agreement, invoice or purchase flow before commitment. Where online payment is enabled, payment credentials are handled by the payment provider and its terms also apply. Review and correct an order before submitting it and keep a copy of the transaction terms.
Nothing in these Terms excludes a cooling-off, cancellation, refund, service-quality or other statutory right that cannot lawfully be excluded, including rights that may apply under the Electronic Communications and Transactions Act, 2002 or Consumer Protection Act, 2008.
9. Electronic communications and acceptance
You consent to receiving account, security, project, assignment, reminder, billing and service communications electronically. An electronic action, acceptance, acknowledgement or signature may form a valid record where the law permits it. Keep copies needed for your records. A workflow sign-off is not a signature for a separate building contract or certificate unless the parties have expressly agreed that effect and applicable law allows it.
10. Acceptable use
You must not:
- access another tenant, project, account or file without permission, or bypass role, storage, billing or security controls;
- submit unlawful, misleading, infringing, malicious or unnecessarily sensitive content;
- use site media, voice recording or personal information without an appropriate legal basis, notice and authority;
- harass users, impersonate another person, falsify completion evidence or misrepresent a review or sign-off;
- introduce malware, overload, disrupt, scrape or reverse engineer the Service except where applicable law does not permit that restriction;
- conduct security testing without written permission; or
- use SnagMate in a way that violates law, another person's rights or a binding project obligation.
11. Availability, changes and support
We work to keep SnagMate reliable but do not promise uninterrupted or error-free availability. Connectivity, device permissions, customer configuration and third-party services may affect operation. We may maintain, improve, replace or discontinue a feature, with reasonable notice where practicable and subject to a customer agreement and applicable law. Report suspected problems through the support channel provided to your organisation or by email.
12. Intellectual property
Tech Local and its licensors own SnagMate's software, design, branding, documentation and other Service materials, excluding Customer Content. Subject to these Terms and the customer agreement, we grant authorised users a limited, non-exclusive, non-transferable and revocable right to use the Service for the customer's internal project workflow. No other right is granted. Feedback may be used to improve SnagMate without identifying the person or customer publicly.
13. Privacy, confidentiality and project access
The Privacy Notice explains how personal information is processed. Where a customer determines why and how project information is used, it is the responsible party and Tech Local acts as its operator under the customer agreement and applicable data- processing terms. Users must respect project confidentiality and access information only for their authorised work. Customer administrators control workspace membership and project access.
14. Third-party services
SnagMate depends on services such as Supabase for authentication, data and private storage; Vercel for hosting; Resend for transactional email; Groq for optional transcription; Slack for feedback routing where configured; and PayFast for payments where online checkout is enabled. A customer may also provide links, drawings or other third-party material. Third-party terms may apply to services you use directly. We are not responsible for a third-party service that we do not control, but this does not limit any duty that applicable law places on us.
15. Suspension, termination, export and retention
We may restrict or suspend access where reasonably necessary for security, suspected misuse, non-payment, a legal requirement, material breach or protection of another customer, and will give notice where reasonably practicable. A customer may end its service as its customer agreement allows. On termination, user access ends and Customer Content may be exported, returned, retained or deleted according to that agreement, the Privacy Notice, workspace controls and applicable law. Certain issued records, backups, audit trails or dispute materials may remain for a justified retention period.
16. Responsibility, liability and statutory rights
To the extent permitted by law, neither party is responsible for indirect or consequential loss that was not reasonably foreseeable when the agreement was made. Any agreed liability limit in a customer agreement applies subject to law. Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, gross negligence, death or personal injury caused by negligence, or any consumer right or other statutory right that cannot lawfully be excluded. The Service is supplied with the warranties and quality standards that applicable law requires.
17. Complaints, disputes and governing law
Send a complaint to tania@elitefacilities.co.za with enough detail for us to investigate. The parties should first try in good faith to resolve a dispute. These Terms are governed by South African law, and disputes may be brought before a competent South African court, subject to any mandatory consumer forum, alternative dispute process or jurisdictional right that applies.
18. Changes and contact
We may update these Terms when SnagMate, a customer arrangement or the law changes. The effective date and version identify the published Terms. We will give appropriate notice of a material change and obtain acceptance where required.
